By accessing or using any of our Services, you ("Client," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and any additional terms or agreements provided to you. If you do not agree to these Terms, you may not use our Services.

Bizupfy provides strategic business consulting services primarily for Small to Medium-sized Businesses (SMBs) in the United States. Our services are designed to promote business growth, operational efficiency, and leadership development. These services include, but are not limited to:

• Business Growth Consulting: Providing analysis and strategies to identify and achieve business potential.

• Digital Transformation: Assisting in the modernization of business processes through the adoption of intelligent technology and digital strategies.

• CEO Mindset Coaching: Offering guidance and coaching to develop visionary leadership, strategic thinking, and effective management skills.

• Strategic Re-focus: Helping to reorient business goals and operations to maximize profitability, sustainability, and growth.

The specific scope, deliverables, and timeline of the services provided to each Client will be detailed in a separate, formal proposal or Service Agreement.

3. Client Responsibilities

As a Client, you agree to:

• Provide accurate, complete, and timely information as required for us to perform our services.

• Cooperate with us and make relevant personnel and resources available to facilitate the consulting process.

• Review deliverables in a timely manner and provide constructive feedback.

• Implement and act upon the strategies and advice provided at your own discretion and risk.

• Use the services and any resulting work product for lawful purposes only.

4. Fees and Payment

The fees for our consulting services will be outlined in the specific Service Agreement between Bizupfy and the Client. Payment terms, including schedules and methods of payment, will also be defined in that agreement. Unless otherwise specified, all fees are quoted in U.S. Dollars.

5. Intellectual Property

• Our Content: All content on the Bizupfy website, including text, graphics, logos, and our proprietary methodologies, frameworks, and tools used in our consulting services, are the exclusive property of Bizupfy and are protected by intellectual property laws. You may not use, copy, reproduce, or distribute any of this content without our prior written permission.

• Client Deliverables: Any custom reports, strategies, or other documents ("Deliverables") created specifically for you during our engagement will become your property upon our receipt of full payment for the associated services. However, we retain the right to use the underlying general knowledge, concepts, and methodologies developed during the engagement for other purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of sensitive information.

• Our Responsibility: We will not disclose any confidential information you share with us (including business plans, financial data, customer lists, and trade secrets) to any third party, except as required by law or with your express consent.

• Your Responsibility: You agree to keep confidential all proprietary information we share with you, including our business practices, methodologies, templates, and pricing.

7. Term and Termination

The term of our engagement will be specified in the Service Agreement. Either party may terminate the agreement under the conditions set forth therein, which typically include provisions for termination for cause (such as a material breach of the agreement) or for convenience with a specified notice period. Upon termination, the Client is responsible for paying for all services rendered up to the effective date of termination.

8. Disclaimer of Warranties

Bizupfy provides its services with professional skill and care. However, we do not warrant or guarantee any specific results or business outcomes. The success of the strategies we recommend depends on various external market factors and your company's ability to implement them effectively. All services and website content are provided "as is" without any warranties, express or implied. You acknowledge that you are solely responsible for the decisions you make and the results you achieve.

9. Limitation of Liability

To the fullest extent permitted by law, Bizupfy, including its founder, employees, and affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our services; (b) any advice or strategies provided; or (c) any actions you take based on our recommendations.

In no event shall Bizupfy's aggregate liability for all claims relating to the services exceed the total amount of fees paid by you to Bizupfy in the six (6) months immediately preceding the event giving rise to the claim.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Collin County, Texas.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of our website or services after any such change constitutes your acceptance of the new Terms.
